This Master Terms and Conditions Agreement (the “Agreement”) governs all equipment rentals, production packages, logistics, and technical services provided by Skytracker USA (“Vendor”) to the client listed on the accompanying Proposal, Estimate, or Invoice (“Client”). Payment of a deposit, payment in full, or formal acceptance of equipment delivery constitutes absolute contractual agreement to these terms.
1. RESERVATION, SCHEDULING, & PAYMENT TERMS
- Payment in Full Policy: Payment in full is the standard requirement to secure specific equipment allocation, logistics planning, and calendar date reservations.
- Non-Refundability: All payments, credit card processing fees, and authorized deposits are strictly non-refundable upon receipt by Skytracker USA.
- Corporate Balances: Any partial balances or credit terms explicitly authorized in writing under an approved corporate account are due strictly upon physical equipment delivery (Load-In) at the venue site.
- Payment Failures: Skytracker USA reserves the right to withhold delivery, terminate automation setups, or delay dispatch if any authorized balance payment fails to clear prior to physical deployment.
2. CANCELLATION & CONTRACT FORFEITURE POLICY
- Written Requirement: All requests for event cancellations, schedule adjustments, or contract terminations must be submitted formally to Skytracker USA in writing via email.
- The 7-Day Total Liability Rule: If a cancellation occurs within seven (7) calendar days of the scheduled load-in date, Client forfeits all funds previously paid and assumes immediate, unconditional liability for one hundred percent (100%) of the total remaining invoice balance.
- Inventory Hold Compensation: Client explicitly acknowledges that because Skytracker USA reserves highly specialized architectural lighting assets and turns away competing commercial bookings for those specific dates, this cancellation structure serves as fair liquidated damages and not a penalty.
3. WEATHER & ENVIRONMENTAL INTERRUPTIONS
- Rain-or-Shine Execution: All services are contracted on a strict rain-or-shine basis. Outdoor experiential projection and architectural searchlight systems are designed to operate under diverse weather conditions.
- Full Payment Enforcement: Once equipment has been formally dispatched from Skytracker USA facilities or staged onsite, full contract payment remains completely due and non-refundable. No credits, refunds, or pricing deductions will be issued for weather-related delays, rain interruptions, wind-driven site evacuations, venue-imposed power outages, macro event cancellations, or performer schedule modifications.
4. VENUE SITE SECURITY & ASSET LIABILITY
- Custody Transfer: Client assumes full physical custody, operational control, and absolute financial liability for all Skytracker USA equipment immediately upon its delivery to the designated venue site.
- Continuous 24-Hour Security Requirement: Client is strictly required to provide adequate, continuous, and professional site security to prevent theft, vandalism, accidental damage, weather exposure tampering, or unauthorized personnel interaction. This security mandate applies uniformly across both active operational show times and all non-operational standby intervals.
- Damage Restoration: Failure to secure the equipment will result in immediate, direct billing to Client for all parts, labor, transit, and expert restoration or replacement costs resulting from any and all onsite occurrences, including damage caused by event attendees or third-party venue contractors.
5. AESTHETIC OUTPUT & MERCHANT CHARGEBACK WAIVER
- Atmospheric Variables: Client explicitly acknowledges that aerial searchlight beam visibility, crispness, and travel distance are fundamentally dictated by local atmospheric conditions. Micro-climates, marine layers, coastal fog, low cloud ceilings, humidity, and ambient city light pollution are completely beyond the technical control of Skytracker USA.
- Technical Compliance As-Is Acceptance: Equipment is delivered in pristine, verified technical operating condition. Client agrees to accept all aesthetic output, beam brightness levels, and environmental visibility variables on a strictly “as-is” basis.
- Chargeback Prohibitions: Client explicitly waives all rights to initiate credit card chargebacks, bank payment reversals, or formal merchant disputes based on visual output dissatisfaction, weather-limiting visibility factors, or any subjective performance expectations once equipment has been deployed to the venue site.
6. AUTOMATED OPERATION & HARDWARE INTEGRATION
- Turnkey Timer Automation: When equipment is designated as automated or unattended, systems are calibrated to operate on precise, pre-programmed digital timers based strictly on the hours itemized in the job description.
- Hourmeter Verification: For client-managed operations or manual tracking verification, Skytracker USA utilizes the machine’s physical hardware hour-meter.
- Runtime Restrictions: Operating windows are capped exactly at the hours specified. Any requested runtime extension must be discussed, negotiated, and paid before additional operating hours are authorized. Any unauthorized runtime extension detected via machine hour-meter auditing will be billed retroactively and processed immediately using the credit card on file.
